Terms and Conditions

Please read these Terms and Conditions ("Terms") carefully before using Atelier AI Image Studio ("Service") operated by Atelier AI Studios ("we," "us," or "our"). By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease use of the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. Definitions

• Service — the Atelier AI Studios SaaS platform, including the web app, API access, AI image generation and enhancement tools, and store integrations
• User Content — product images, files, and data you upload or connect to the Service
• AI Output — images and visual content generated by the platform's AI algorithms
• AI Credits — digital units that measure and limit AI processing consumption within your plan
• Subscription Term — the agreed billing period for your plan (monthly or annual)

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorised access to your account
• Take responsibility for all activity that occurs under your account

4. License Grant and Acceptable Use

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes during the Subscription Term.

You agree not to:

• Reverse-engineer, decompile, or disassemble any part of the platform
• Build competing products or services using the Service
• Upload content that infringes any third-party intellectual property rights
• Upload content that is illegal, harmful, abusive, or sexually explicit
• Use the Service to generate deceptive, fraudulent, or misleading imagery
• Bypass, disable, or circumvent any security protections, access controls, or usage limits
• Use the Service for any purpose not expressly permitted by your subscription plan

5. Artificial Intelligence Disclaimer

AI systems are probabilistic and may occasionally produce unexpected, inaccurate, or imperfect results. We make no representation or warranty regarding the accuracy, completeness, or suitability of any AI Output for any particular purpose.

You are responsible for reviewing, verifying, and editing all AI Output before commercial use. By using the Service you acknowledge and accept all risks associated with AI-generated content.

6. Intellectual Property

Company IP: Atelier AI Studios retains all rights to the Service, including its software, algorithms, UI/UX designs, trademarks, and trade secrets. Nothing in these Terms transfers any ownership of our intellectual property to you.

Your Content & AI Output: You retain ownership of your User Content. You also own the rights to AI Output generated specifically for your account. By using the Service, you grant us a worldwide, royalty-free licence to host, process, and display your content solely to provide the Service and to improve our AI models using only anonymised, aggregated data that cannot be used to identify you.

You represent and warrant that you own or have the necessary rights to upload your User Content and that it does not violate any law or third-party rights.

7. Subscriptions, Fees, and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your chosen plan, excluding applicable taxes
• Provide valid payment information and keep it up to date
• Authorise us and our payment processor (Stripe) to charge fees on a recurring basis until cancellation
• Automatic renewal of your subscription at the end of each billing period unless you cancel beforehand

Refunds: All fees are non-refundable. All sales are final, as the Service provides immediate access to digital processing. By using even one (1) AI Credit, you explicitly request immediate performance of the Service and acknowledge that you waive any statutory right to a cooling-off period or refund, to the extent permitted by applicable law.

Credit Expiry: Unused AI Credits expire at the end of each billing cycle unless otherwise specified in your plan.

We reserve the right to change pricing with reasonable advance notice.

8. Confidentiality and Data Protection

Use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. We implement industry-standard security measures to protect your data, though no internet transmission is completely secure. You are responsible for maintaining the confidentiality of your account credentials.

9. Third-Party Integrations

The Service may integrate with third-party platforms including Shopify, WooCommerce, and Ecwid. You acknowledge that:

• Your use of those platforms is governed by their own terms of service
• We bear no responsibility for third-party platform downtime, data loss, or account suspension
• You are responsible for ensuring your use of integrations complies with the relevant platform's policies

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Atelier AI Studios and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, arising out of or related to your use of the Service.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Atelier AI Studios and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of:

• Your use of the Service or violation of these Terms
• Your User Content or AI Output
• Your violation of any third-party rights, including intellectual property rights

13. Termination

We may suspend or terminate your access immediately, without notice, if we reasonably believe you have breached these Terms or if your account usage poses a security risk to the platform or other users. Upon termination, your licence to use the Service ceases immediately and we reserve the right to delete your User Content and AI Output after a commercially reasonable period.

You may cancel your account at any time through your account settings.

14. Governing Law

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction as mutually agreed.

15. Miscellaneous

• Severability — if any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force
• Entire Agreement — these Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Atelier AI Studios regarding the Service
• Changes — we may update these Terms periodically; continued use of the Service after changes are posted constitutes your acceptance of the revised Terms
